Our standard terms

Introduction

These terms apply to all services provided by StudioIQ, part of DeliveryIQ. By instructing us to carry out work, you agree to these terms. They do not affect your statutory rights.

Services

StudioIQ provides website design, website development and practical AI consultancy for startups and SMEs. The specific scope, deliverables, timeline and fees for each project are set out in a written proposal or statement of work agreed by both parties.

Quotes, deposits and payment

Quotes are valid for 30 days unless otherwise stated. A deposit may be required before work begins. Invoices are payable within 14 days of the invoice date unless a different schedule is agreed in writing. Late payments may incur interest and recovery costs.

Client responsibilities

You agree to provide timely access, materials, feedback and approvals needed for us to complete the work. Delays caused by incomplete or late client input may affect timelines and may incur additional charges.

Intellectual property

Upon full payment, ownership of bespoke designs, code and deliverables created specifically for your project passes to you. We retain ownership of our pre-existing tools, frameworks, processes and general know-how. Third-party assets, plugins or stock content may be subject to their own licences.

Confidentiality

Both parties agree to keep confidential any commercially sensitive information shared during the course of the project, and not to disclose it without the other party's consent, except where required by law.

Limitation of liability

Our total liability is limited to the amount paid by you for the services giving rise to the liability. We are not liable for indirect, consequential or loss-of-profit damages. Nothing in these terms excludes liability for death, personal injury or fraud.

Project changes and termination

Either party may terminate a project with reasonable written notice. Work completed up to termination remains payable, and any deposit already paid may be retained to cover costs incurred. Significant scope changes may require a revised quote.

Governing law

These terms are governed by the laws of England and Wales, and any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these terms from time to time. The version current at the start of a project will apply unless otherwise agreed in writing.
